As a condition to the Parties furnishing each other with the Information, the Parties agrees to treat and handle confidentially, and not to reveal to third-parties, except as expressly permitted herein, the Information and any other Information which they obtain from or on behalf of the other during the course of their review, whether furnished before or after the date of this Agreement. The Information does not include Information which (i) becomes generally available to the public, other than as a result of a disclosure by Receiving Party or its agents; or (ii) becomes available to Receiving Party on a non-confidential basis from a source other than Furnishing Party or its agents, provided that such source is not bound by a confidentiality agreement with Furnishing Party; or (iii) becomes available to Receiving Party on a confidential or non-confidential basis prior to its disclosure to Receiving Party by Furnishing Party. *
